Terms of Service

1. Agreement to Terms

By accessing or using the services of Castaneda Networks ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Services Description

Castaneda Networks provides:

• Cloud architecture and infrastructure services
• Web development and design services
• Software development and integration
• Technical consulting and support
• AI and machine learning solutions
• DevOps and automation services

3. Project Engagement

3.1 Proposals and Quotes

All project proposals and quotes are valid for 30 days unless otherwise specified. Prices are subject to change based on scope modifications.

3.2 Project Scope

The scope of work will be defined in a separate project agreement or statement of work. Any changes to the scope may result in additional charges.

3.3 Client Responsibilities

• Provide timely feedback and approvals
• Supply necessary content, data, and access credentials
• Ensure legal rights to all provided materials
• Participate in scheduled meetings and reviews

4. Payment Terms

4.1 Fees and Billing

• Payment terms will be specified in the project agreement
• Standard terms are 50% deposit to begin work, 50% on completion
• Invoices are due within 15 days unless otherwise agreed
• Late payments may incur a 1.5% monthly service charge

4.2 Refund Policy

Deposits are non-refundable once work has commenced. Refunds for completed work will be evaluated on a case-by-case basis.

5. Intellectual Property

5.1 Client Materials

You retain all rights to materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

5.2 Deliverables

Upon full payment, you own all custom code, designs, and deliverables created specifically for your project, except for:

• Pre-existing intellectual property
• Open-source components
• Our proprietary tools and methodologies
• General knowledge and skills

5.3 Portfolio Rights

We reserve the right to display your project in our portfolio and marketing materials unless you request otherwise in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the engagement. This obligation survives termination of the agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our work reported within 30 days of delivery at no additional charge.

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL CASTANEDA NETWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Castaneda Networks from any claims, losses, damages, liabilities, and expenses (including attorney's fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or materials you provide

10. Termination

10.1 Termination by Either Party

Either party may terminate the engagement with 30 days written notice. You will be responsible for payment of all work completed up to the termination date.

10.2 Termination for Cause

Either party may terminate immediately upon written notice if the other party materially breaches the agreement and fails to cure within 10 days of notice.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any project agreements, constitute the entire agreement between you and Castaneda Networks.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
